The Easygate Software website (“the Store” or “the Site”) is managed and operated by the company identified in the information above, hereinafter referred to as “Easygate, Lda”.

Purpose and Scope of Application

These General Terms and Conditions of Sale (“GTC”) govern the contractual relationship between Easygate, Lda and any natural or legal person (“the Customer”) who purchases digital products sold on the Site.

Acceptance of these GTC is an essential condition for the completion of any order. By proceeding with the purchase, the Customer declares that they have read, understood, and accepted the GTC in the version in effect on the date of the order.

Easygate, Lda reserves the right to amend the T&C at any time. Such amendments shall apply only to orders placed after their publication on the Website.

Digital Products — Characteristics

The Store exclusively sells digital content and services (software, components, libraries, utilities, and documents in electronic format), pursuant to Decree-Law No. 84/2021 of October 18, which transposed Directive (EU) 2019/770 into Portuguese law.

3.1 Description and Compatibility

The description of each product, including its functional features, hardware/software requirements, and any compatibility restrictions, can be found on the respective product page. The Customer must verify these requirements before making a purchase.

3.2 Delivery

After payment confirmation, the product is made available immediately via a download link sent to the email address provided in the order. The link has an expiration date and a maximum number of uses configurable by the operator.

If you do not receive the delivery email within 30 minutes of payment, check your spam folder or contact support at support@sales.easygate.pt , providing your order number.

3.3 Licensing

Unless otherwise stated on the product page, each purchase grants the Customer a personal, non-transferable, and non-exclusive license to use the product. Resale, redistribution, sublicensing, or public distribution of the product, in whole or in part, is not permitted without prior written authorization from Easygate, Lda.

3.4 Free Products

The provision of products free of charge does not imply the transfer of any intellectual property rights over them. Easygate, Lda reserves the right to change the terms of availability or to discontinue any free product, to the extent permitted by law, without this conferring upon the user any right to indemnification or compensation.

Order Process and Formation of the Contract

The purchase and sale contract is deemed concluded at the moment when Easygate, Lda receives payment confirmation from the payment processor and sends the Customer the order confirmation email.

The steps in the ordering process are as follows:

  1. Product selection and initiation of checkout;
  2. Filling in the buyer’s details (name, email, country);
  3. Calculation and display of the final price including applicable VAT;
  4. Review and acceptance of these Terms and Conditions;
  5. Payment via the available payment service (PayPal or equivalent);
  6. Order confirmation and sending of the download link via email.

Easygate, Lda reserves the right to refuse or cancel any order in the event of suspected fraudulent or abusive use.

Prices and VAT

All prices listed on the Website are expressed in euros (EUR). The final price displayed at checkout includes the applicable Value Added Tax (VAT), calculated according to the Customer’s country of residence.

5.1 VAT Calculation

For digital services provided to end consumers residing in the European Union, VAT is charged at the rate in effect in the consumer’s Member State, pursuant to Implementing Regulation (EU) No. 282/2011 (Art. 24a) and the VAT Directive 2006/112/EC, as amended by Directive 2017/2455/EU.

For customers outside the European Union, the supply of digital content is not subject to Portuguese VAT.

For customers with a valid VAT number from another EU Member State, duly validated by the VIES system, the reverse charge mechanism may apply pursuant to Article 196 of the VAT Directive.

5.2 Proof of the customer’s location

In accordance with Regulation (EU) No. 1042/2013, at least two non-contradictory pieces of evidence regarding the customer’s location (geolocated IP address and country indicated at checkout) are collected, which are retained for ten years in accordance with applicable tax legislation.

The final price including VAT is displayed before any payment is made. Easygate, Lda does not store or process credit card data; all payments are processed directly by the payment operator.

Right of Withdrawal

Decree-Law No. 24/2014, of February 14 (distance contracts), provides for a 14-day period to exercise the right of withdrawal. However, pursuant to Article 17, (1)(m), this right does not apply when:

By completing the order and authorizing the immediate start of the download, the Customer provides this express consent, being aware of the loss of the right of withdrawal.

Quality Guarantee: Although the right of withdrawal does not apply after the download begins, Easygate, Lda undertakes to resolve any duly substantiated technical issue.

Refund Policy

Without prejudice to the provisions of Section 6, Easygate, Lda may, at its discretion, issue a full or partial refund in the following cases:

Refund requests must be sent to support@sales.easygate.pt , indicating the order number and a description of the problem. Approved refunds are processed to the original payment method within 5 to 10 business days.

Intellectual Property

All products sold in this Store are protected by legislation on copyright and related rights (Code of Copyright and Related Rights, approved by Decree-Law No. 63/85, and subsequent amendments).

The purchase of a product grants exclusively the right of personal use under the terms of the associated license. The following are expressly prohibited without prior written authorization from Easygate, Lda:

The name, logo, and other distinctive marks of Easygate, Lda are the exclusive property of the company and may not be used without express authorization.

8.1 Source Code

When a product supplied by Easygate, Lda includes source code, such source code may be used for the following purposes:

The source code provided by Easygate, Lda may not be distributed or transferred to third parties, whether for a fee or free of charge. If a product incorporating such source code is distributed alongside the Customer’s own source code, the distribution may not include the source code of Easygate, Lda, unless otherwise authorized in writing.

8.2 Prohibition on Developing Competitive Products

It is expressly prohibited to use the source code provided by Easygate, Lda to develop, integrate, distribute, or market competing products, equivalents, substitutes, or products similar to the product provided, even if free of charge, unless expressly authorized in writing by Easygate, Lda.

The source code may be used—but not distributed—in the Customer’s final products, whether free or commercial, provided that all of the following conditions are met:

In case of doubt regarding the admissibility of a particular use, the Customer must request prior clarification from Easygate, Lda via info@sales.easygate.pt .

Limitation of Liability

The products are provided “as is.” Easygate, Lda makes every reasonable effort to ensure the quality and proper functioning of the products, but cannot guarantee that they are completely free of errors or that they will function without interruption in all software and hardware environments.

To the fullest extent permitted by applicable law, Easygate, Lda is not liable for indirect, incidental, special, or consequential damages arising from the use or inability to use the products. Easygate, Lda’s total liability is limited to the amount actually paid by the Customer for the order in question.

This limitation does not affect the mandatory legal rights of consumers provided for in Portuguese and European Union law.

Protection of Personal Data

The processing of personal data collected in the context of orders is carried out by Easygate, Lda in its capacity as data controller, in accordance with Regulation (EU) 2016/679 (GDPR) and Law No. 58/2019 of August 8.

The data collected (name, email address, country, and, where applicable, VAT number) is used exclusively for the performance of the contract, the issuance of tax documentation, and customer support. It is not shared with third parties for marketing purposes.

Service Availability

Easygate, Lda makes reasonable efforts to keep the Site and associated services available on a continuous basis. However, it cannot guarantee uninterrupted availability, and interruptions may occur due to maintenance, updates, or circumstances beyond its control.

Download links generated after purchase have a defined expiration date. If the link expires before the Customer downloads the file, they may request a renewal via support@sales.easygate.pt .

Dispute Resolution

In the event of a dispute arising from the interpretation or execution of these GTC, the Customer may resort to the following alternative dispute resolution (ADR) entities:

Easygate, Lda is available to resolve any situation directly; the Customer should contact support before resorting to formal procedures.

Applicable Law and Jurisdiction

These GTC are governed by Portuguese law. For consumer customers residing in the European Union, the mandatory consumer protection provisions in force in the Member State of the Customer’s residence also apply.

For the judicial resolution of disputes, the court of the district of Lisbon has jurisdiction, without prejudice to the rules of jurisdiction applicable to consumers.
